This is an exciting opportunity for an experienced, dynamic, and Legal and Compliance Officer to join our team. As Arnergy’s Legal Counsel, Company Secretary, and Compliance Officer, you will play a critical role in driving the company’s legal and compliance functions forward while contributing to our vision of providing sustainable solutions to energy reliability issues across emerging markets.

You’ll focus on:

Legal Counsel

  • Provide legal advice and support to the company on various legal matters, including contracts, agreements, regulatory compliance, and litigation.
  • Draft, review, and negotiate legal documents related to Arnergy projects, partnerships, and transactions.
  • Conduct legal research on regulatory trends and provide strategic advice on legal implications for the business.
  • Collaborate with internal stakeholders, external legal counsel, and regulatory authorities on legal issues impacting the company’s operations.
  • Assist in developing and implementing legal strategies to mitigate risks and ensure compliance with applicable laws and regulations.
  • Examine the legal issues concerning the new products and services.

Company Secretariat

  • Serve as the primary point of contact for the board of directors, ensuring effective communication and coordination of board activities.
  • Provide expert guidance and support on corporate governance matters, ensuring compliance with regulatory requirements and best practices.
  • Organize and facilitate board meetings and AGMs, including drafting agendas, preparing meeting materials, recording minutes, and following up on action items.
  • Maintain accurate and up-to-date corporate records, including board resolutions, governance policies, and statutory filings.
  • Act as a key liaison between the company and regulatory authorities, ensuring timely submission of regulatory filings and compliance with legal obligations.
  • Assist in developing and implementing corporate policies and procedures to enhance transparency, accountability, and ethical business conduct.
  • Research regulatory developments in the renewable energy sector and provide strategic advice on their implications for the business.

Compliance

  • Develop, implement, and oversee the company’s compliance program to ensure adherence to regulatory requirements and industry standards.
  • Monitor changes in laws and regulations affecting the renewable energy sector and update internal policies and procedures accordingly.
  • Conduct compliance risk assessments, audits, and training programs to promote a culture of compliance throughout the organization.
  • Investigate compliance issues, identify root causes, and recommend corrective actions to prevent future non-compliance.
  • Liaise with regulatory authorities and external auditors on compliance matters and facilitate regulatory inspections or audits as needed.

Requirement and Skills

You’ll be a good fit for this role if you have experience with:

  • Bachelor’s degree in Law or a related field. Professional certification as a Chartered Secretary or equivalent is preferred.
  • Proven experience in corporate governance, legal counsel, and compliance roles within the renewable or broader energy industry.
  • Excellent communication, negotiation, and analytical skills, with the ability to interact effectively with stakeholders at all levels.
  • Strong organizational skills, attention to detail, and the ability to manage multiple priorities in a fast-paced environment.
  • Proficiency in MS Office applications, legal research tools, and corporate governance software.
  • Demonstrated integrity, sound judgment, and the ability to handle confidential information with discretion.
